1. Agreement to these Terms
These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Greymill Limited, a company registered in England and Wales (company number: 17144930) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Greymill", "we", or "us"). They govern your access to and use of the Greymill platform, website, and related services (together, the "Service"). By creating an account, starting a free trial, or accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. What the Service Does
Greymill provides an AI-powered platform comprising a team of specialist AI agents designed to assist with common business tasks — including strategy, marketing, operations, finance, accounting, legal research, and people operations. The Service is delivered via web browser and is available globally, subject to applicable export restrictions. We continuously improve the Service; new features, specialists, and capabilities may be added over time.
3. Not a Substitute for Qualified Professional Advice
The Service provides general information and guidance, not regulated professional advice. Outputs generated by our AI agents are for informational purposes only. They do not constitute legal advice, tax advice, investment advice, accounting advice, medical advice, or any other form of regulated professional counsel. Laws, regulations, and tax rules vary by jurisdiction and change frequently. You should always consult a qualified professional — such as an attorney, certified public accountant, chartered accountant, licensed financial advisor, or other appropriately credentialed specialist — before making any decision that carries legal, financial, regulatory, or health consequences. We expressly disclaim liability for any decision made, or action taken or not taken, in reliance on output generated by the Service.
4. Your Account
You must provide accurate information when creating your account and keep it up to date. You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately at support@greymill.ai if you suspect unauthorised access. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
5. Acceptable Use
You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) attempt to access parts of the Service you are not authorised to access; (c) use the Service to generate content that is defamatory, harassing, threatening, infringing, or that depicts sexual content involving minors; (d) reverse-engineer, decompile, copy, scrape, or redistribute any part of the Service or our underlying technology; (e) share your account credentials with third parties or allow access by anyone other than authorised users on your plan; (f) use the Service to build, train, or improve a competing product or service; (g) attempt to interfere with, disrupt, or circumvent the security or integrity of the Service, including by submitting prompts designed to bypass our operational safeguards.
6. Data Protection and Privacy
We handle personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR), the EU General Data Protection Regulation (EU GDPR) where applicable, and the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), as well as comparable state privacy laws in Virginia, Colorado, Connecticut, Utah, and other US states that enact equivalent regimes.
Business information you enter into the Service — including conversation history, documents you upload, and your shared business memory — is stored in encrypted databases and used solely to provide and improve your experience of the Service. We do not sell your personal data. We do not use your customer content to train foundation AI models. You can request a copy, correction, or deletion of your personal data at any time by contacting us. For full detail, see our Privacy Policy.
7. Fees, Billing, and Taxes
Paid subscriptions are billed in advance, on a monthly or annual recurring basis at the rate displayed at the time of purchase. Annual subscriptions are billed once for the full year; monthly subscriptions are billed each month. Prices are shown in the currency applicable to your location — typically GBP, USD, or EUR — and are exclusive of applicable taxes, including UK VAT, US state and local sales and use taxes, EU VAT, and any equivalent indirect taxes in other jurisdictions. By providing a payment method, you authorise our Merchant of Record (see clause 8) to charge that method on the recurring schedule. If a payment fails, we may suspend or terminate access to the Service until the outstanding balance is paid.
8. Merchant of Record
Subscriptions to the Service are sold and processed by FastSpring (Bright Market, LLC, doing business as FastSpring), 801 Garden Street, Santa Barbara, CA 93101, United States, acting as the Merchant of Record on our behalf. FastSpring is the legal seller for billing purposes and is responsible for processing payments, calculating and remitting applicable taxes (including VAT, GST and US sales tax), and handling refunds, chargebacks and billing-related queries. Your purchase contract for the subscription is therefore between you and FastSpring as the seller, while the Service itself is operated by Greymill Limited. FastSpring's terms of sale apply to the transaction in addition to these Terms and are available at fastspring.com/terms-of-service-buyers. Greymill remains responsible for the operation, content and quality of the Service.
9. Free Trial
A free trial provides temporary full access to the Service for the period stated at signup. At the end of the trial, you must subscribe to a paid plan to continue using the Service. No payment method is required to start a trial; no charge occurs unless you actively subscribe. Your account data is retained for 30 days after trial expiry and deleted thereafter unless you subscribe.
10. Cancellation and Refunds
You may cancel your subscription at any time through the in-app billing flow or by contacting support. Cancellation takes effect at the end of the current billing period, and you retain access through that date. Consistent with standard SaaS practice, fees are non-refundable in whole or in part, including for partial months, partial years, or periods of reduced usage. Where applicable consumer protection law grants a statutory right to cancel and receive a refund (for example, the EU consumer right to withdraw within fourteen days of purchase, where applicable), that right is not affected by this clause and is administered by FastSpring as Merchant of Record.
11. Intellectual Property
The Service, including its design, source code, user interface, branding, agent configurations, and underlying intellectual property, is owned by Greymill and its licensors and is protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms. Content you input into the Service ("Customer Content") remains your property; you grant us a worldwide, non-exclusive licence to process Customer Content solely to provide and improve the Service for you. Subject to your rights in your inputs, outputs generated by the AI agents for you are yours to use in your business, with the exception that you may not resell or license raw outputs as a standalone AI service.
12. Third-Party AI Providers
The Service is powered in part by third-party AI infrastructure. Your use of the Service is therefore also subject to the usage policies of our underlying AI providers, as applied through our integration. We handle the technical integration on your behalf; you have no direct relationship with our AI providers through your use of the Service. 13. Service Availability
We target high availability and work to minimise disruption, but we do not guarantee uninterrupted, error-free, or perpetually available service. Scheduled maintenance, emergency updates, third-party outages (including AI model provider incidents), or events outside our reasonable control may result in temporary unavailability. We may modify, suspend, or discontinue features of the Service on reasonable notice.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Greymill, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, lost goodwill, or business interruption — arising out of or related to your use of (or inability to use) the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages. Our aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100). Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
15. Indemnification
You agree to defend, indemnify, and hold harmless Greymill from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Service; or (c) your violation of any law or the rights of a third party in connection with your use of the Service.
16. Changes to these Terms
We may update these Terms from time to time to reflect changes in the Service, our legal obligations, or our business. Material changes will be communicated by email or in-product notice at least thirty (30) days before taking effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance; if you do not agree to the changes, your remedy is to cancel your subscription before the effective date.
17. Governing Law and Dispute Resolution
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict-of-laws principles. Customers in the United States: for the avoidance of doubt, choosing English law as the governing law of this agreement is a standard commercial choice for international SaaS and does not waive rights you may have under applicable US federal or state consumer protection, data protection, or equivalent mandatory laws, which continue to apply to the extent required. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be resolved first by good-faith negotiation. If the parties cannot resolve the matter within sixty (60) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
